Question:  Is there is any dewatering or bio solids minimization required?

Response:  No.  The product is put in trailers after the dewatering process is completed.  Additionally, the long-term Class A exceptional quality biosolids will have been dried through our dryer process.

Question:  Does the County have a form contract agreement with included legal terms and conditions that the bidders may review, prior to bid submittal, or will the selected bidder be tasked with drafting the negotiated contracted agreement?

Response:  Per section 3. of the General Terms and Conditions:  Entire Agreement:  This bid document contains our terms and conditions and constitute the entire agreement between Lake County and the awarded bidder.  Modifications and exceptions taken to the terms and conditions contained herein must be formally accepted in writing by both parties.

Question:  What will be the radium status of the Class A material?

Response:  The County is currently working with Villages that have deep wells for a water source to limit the discharge of their backwash to the treatment plant. The current radium level in the Class B material is approximately 9 pCi/g. As these Villages move to Lake Michigan for a source water, we will see a reduction in the radium level in the Class B material. The Class A material will have the same radium concentration as the Class B.

Question:  Do you have an analysis of the Class A material?

Response:  Yes – see attached.

Question:  Any lead time or notification of class A or class B prior to the start of each quarter? (Greatly affects the land base and how much land is required to have for this project)

Response:  We can coordinate with the vendor to provide some advance notice on sludge production for each class.

Question:  Can we include our demobilization costs should you terminate for convenience or lack of allocation of budget? Can you include this in the Termination Section?

Response:  Bidders may take exception to Lake County standard terms and conditions.  All exceptions to these specifications MUST be clearly and completely indicated.  Lake County will negotiate with the awarded bidder.

Question:  Will you include Change in Law as a provision for section 6(D)2 – Termination – Can we add the highlighted section? (2) For purposes of this agreement, “Force Majeure Event” means, with respect to a party, any event or circumstance, whether or not foreseeable, Including a Change in Federal, State, or local law or ordinance; orders or judgments of any Federal, State or local court, administrative agency or governmental body, or that was not caused by that party and any consequences of that event or circumstance.

Question:  Can we add the following payment terms language? Contractor shall submit to Customer an invoice setting forth the amounts due and any additional information with respect to the computation of said amount. Customer shall pay to Contractor the full amount due under said invoice within thirty (30) days of the date of said invoice. Any invoice amount not paid in full within thirty (30) days after the date of said invoice shall bear interest at the rate of one and one half percent (1.5%) per month on the unpaid balance thereof computed from the date of the invoice. If there are disputes regarding the contract, Customer agrees to promptly pay any undisputed amounts.

Question:  Can we get an Annual CPI adjustment to coincide with the annual renewal periods, if elected?

Response:  Please see section 4. Price Escalator - Written requests for price revisions after the initial term and subsequent renewals shall be submitted at least sixty (60) days in advance of the annual contract period. Requests must be based upon and include documentation of the actual change in the costs of the components involved in the contract and shall not include overhead and profit. Changes in the contract price shall be made in the amount of the actual change in Contractor cost or the percentage increase in the U.S. Average Consumer Price Index for the Midwest Urban - per category “All Items,” whichever is less.
